3. Nature of Engagement
City Capital Finance Limited operates as a financial advisory and facilitation firm. We do not guarantee funding approval, issuance of financial instruments, or specific financial outcomes. Any funding, credit approval, or financial instrument issuance is subject to third-party institutions, lenders, issuers, and applicable regulations.
Our role may include advisory support, transaction structuring, facilitation, coordination, and documentation assistance. Final decisions remain at the discretion of the relevant financial institutions or counterparties.
4. Client Eligibility and Responsibilities
By engaging our services, you represent and warrant that:
- You have the legal authority to act on behalf of the business or entity you represent
- All information provided is accurate, complete, and not misleading
- You will promptly provide requested documentation and disclosures
- You will comply with all applicable laws, regulations, and tax obligations
You acknowledge that inaccurate or incomplete information may result in delays, rejection of services, or termination of engagement.
5. Due Diligence and Compliance
City Capital Finance Limited adheres to strict Know Your Customer (KYC), Anti-Money Laundering (AML), and Counter-Terrorist Financing (CTF) obligations.
Clients agree to submit all required identification, financial records, corporate documents, and compliance-related information. We reserve the right to suspend or terminate services where compliance requirements are not met or where unlawful activity is suspected.
6. Fees and Charges
Fees for services may include advisory fees, structuring fees, facilitation fees, or success-based fees, depending on the nature of the engagement.
All fees will be disclosed in writing prior to commencement of services or within a formal engagement agreement. Unless otherwise stated, fees are non-refundable once services have commenced.
City Capital Finance Limited is not responsible for third-party fees, including but not limited to bank charges, legal fees, government levies, or intermediary costs.

Clients are encouraged to seek independent legal, tax, and investment advice before making financial decisions. Any information provided does not constitute a guarantee of performance, approval, or financial return.
8. Confidentiality
We treat all client information as strictly confidential and take reasonable measures to protect it. Confidential information will only be disclosed where:

Confidentiality obligations survive termination of services.

Termination does not relieve the client of obligations incurred prior to termination.
14. Intellectual Property
All content, documentation, methodologies, branding, and materials provided by City Capital Finance Limited remain our intellectual property unless otherwise agreed in writing. Unauthorized reproduction or distribution is prohibited.
15. Force Majeure
City Capital Finance Limited shall not be liable for delays or failures resulting from events beyond reasonable control, including but not limited to natural disasters, regulatory changes, system failures, or acts of government.
16. Governing Law and Jurisdiction
